Terms & Conditions

Please read these Terms & Conditions carefully before accessing or using our website/application and/or purchasing our services.

For the purposes of this contract, the following definitions are adopted:

• SERVICE – Faturate / faturate.com / app.faturate.com / Faturate on the App Store / Faturate on Google Play
• USER – Any individual or legal entity that acquires or uses the SERVICE
• ACCOUNT – A user’s personal area within the SERVICE
• SITE – faturate.com / app.faturate.com
• APPLICATION – Faturate on the App Store / Faturate on Google Play

A) Terms of Service

By using the SITE/APPLICATION and/or purchasing this SERVICE, the USER agrees to be bound by the following terms and conditions (“Terms of Service”):

1. The Faturate team reserves the right to update and modify the Terms of Service periodically and without prior notice.
2. Any new feature that enhances or improves the current SERVICE, including the release of new tools and features, is subject to these Terms of Service.
3. Continued use of the SERVICE by the USER after any changes by the Faturate team constitutes express consent to those changes.

5. The USER is prohibited from using the SITE/APPLICATION, its content, the SERVICE, or their ACCOUNT to:
   1. engage in illegal activity;
   2. solicit others to commit illegal acts;
   3. violate laws or regulations at any level;
   4. infringe intellectual property rights of Faturate or third parties;
   5. harass, abuse, insult, damage, defame, intimidate or discriminate based on sex, orientation, religion, ethnicity, race, age, nationality or disability;
   6. provide false or misleading information;
   7. upload malicious code, viruses, or other harmful programs;
   8. collect or track personal information of others;
   9. engage in spam, phishing, pharming, web crawling or scraping;
   10. engage in any obscene or immoral purpose;
   11. interfere with or bypass SITE/APPLICATION security.
6. The USER acknowledges and agrees that the Faturate team is not responsible for content introduced by the USER into the SERVICE.
7. Violation of any of the conditions set forth in the Terms of Service entitles the Faturate team to terminate the ACCOUNT of the offending USER.
8. The USER expressly accepts and assumes their own risk in using the SERVICE.

B) Account Usage Terms

1. The SERVICE may only be used by individuals aged 18 or older.
2. To sign up for the SERVICE, the applicant must provide full name, a valid email address, and any other information requested through the SITE/APPLICATION.
3. An ACCOUNT login may only be used by one USER — sharing logins is not permitted.
4. The USER is fully responsible for maintaining the security of their ACCOUNT and password. The Faturate team is not liable for loss or damage resulting from failure to do so.
5. The USER is responsible for all content and actions taken under their ACCOUNT, including legality, accuracy, and truthfulness, and assumes any related risks.
6. The USER assumes all risks and costs related to use of the SERVICE.
7. The USER may not use the SERVICE for illegal, fraudulent, or unauthorised purposes, or violate any laws.

C) Terms of Use

The USER may view and edit their ACCOUNT information. Any use of the SITE/APPLICATION is subject to the aforementioned terms and the following specific terms:

1. The USER expressly understands and agrees that the Faturate team is not liable, even for negligence, for any direct, indirect, incidental, special, consequential, or exemplary damages, including lost profits, goodwill losses, misuse, data loss, or other intangible losses resulting from use of the SITE/APPLICATION or third-party products and services accessed through it.
2. The Faturate team reserves the right to modify or discontinue access to the SITE/APPLICATION at any time, with or without notice.
3. If the SERVICE is permanently discontinued, the Faturate team will notify the USER 30 days in advance.
4. After ACCOUNT termination, the Faturate team will email all stored ACCOUNT data in a compressed PDF file to the USER.

D) Cancellation and Termination

1. The USER is solely responsible for properly cancelling their ACCOUNT. Cancellation can be done at any time by sending a request through email.
2. Upon cancellation, ACCOUNT content is immediately deleted and cannot be recovered. The Faturate team advises any USER to keep backups.
3. If cancellation of the SERVICE occurs before the end of a billing period, the cancellation will take effect immediately and the USER will not be refunded for the remaining time.
4. The Faturate team, at its sole discretion and at any time, has the right to suspend or terminate any USER’s ACCOUNT and refuse any and all use of the SERVICE, current or future, or any other SERVICE provided by the Faturate team in the event of non-compliance by the USER with these Terms & Conditions or its Privacy Policy. The closure of the SERVICE entails the deactivation and/or deletion of the USER’s ACCOUNT or preventing the USER from accessing their ACCOUNT, as well as the right to confiscate all content from the USER’s ACCOUNT.
5. The Faturate team reserves the right to refuse to provide the SERVICE to any individual or legal entity for any reason, at any time.

E) Changes to the SERVICE and Pricing

1. The Faturate team may at any time modify or discontinue the SERVICE without prior notice or with 30 days’ notice for permanent discontinuation.
2. The Faturate team may discontinue the SERVICE or part thereof whenever it detects the need to change or correct it. The USER expressly accepts that the Faturate team will automatically provide such corrections as part of the SERVICE and any inherent interruptions thereto.
3. As part of the SERVICE, the Faturate team may also make temporary discontinuities and modifications to the SERVICE, resulting from software problem corrections, functionality improvements, general improvements, or even completely new versions of the SERVICE, with the aim of improving its provision, thus aiming for maximum satisfaction and benefit for the USER. The Faturate team shall not be liable to the USER or any third parties for any damages that may result or arise from the termination or suspension of the ACCOUNT and/or the USER’s access to the SERVICE.
4. Pricing for any SERVICE is subject to change with 30 days’ prior notice and may be published on the SITE/APPLICATION.
5. The USER or third parties may not hold the Faturate team contractually, extra-contractually, criminally or in any other way liable for any modification of prices, suspension or termination of the SERVICE.

F) Intellectual Property and Content Ownership

1. All rights to the SERVICE are reserved by the Faturate team. The USER agrees that the SERVICE contains protected and confidential information under applicable law.
2. The USER may not duplicate, copy, reproduce, redistribute, or reuse any part of the SITE/APPLICATION without written permission.
3. The Faturate team does not claim intellectual property rights over content that the USER uploads to the SERVICE.

G) General Conditions

1. The USER assumes all risks in using the SERVICE, which is provided “as is” and “as available.”
2. Technical support is provided via email.
3. The Faturate team uses partners for hosting, hardware, software, networks, and related technologies required to run the SERVICE.
4. The USER cannot modify or adapt the SITE/APPLICATION.
5. The USER may not use SITE content to create a confusingly similar site or service.
6. The USER may not reproduce, sell, resell, or exploit any part of the SITE/APPLICATION without express written permission.
7. The USER must not upload or transmit unsolicited spam.
8. The SERVICE is provided online and the Faturate team is not liable for connectivity failures.
9. O UTILIZADOR deve adotar medidas preventivas e dotar-se de garantias de segurança, de forma a não transmitir qualquer vírus, worms ou qualquer código de natureza destrutiva.
10. The Faturate team does not guarantee that:
    1. the SERVICE will meet specific user needs;
    2. the SERVICE will be uninterrupted, timely, secure, or error-free;
    3. results from using the SERVICE will be accurate or reliable;
    4. quality of products, services, information or materials obtained through the SERVICE will meet expectations;
    5. errors in the SERVICE will be corrected.
11. The USER expressly understands and accepts that the Faturate team will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, damages for lost profits, or other intangible losses (even if the Faturate team has been advised of the possibility of such damages), resulting from:
    1. misuse or inability to use the SERVICE attributable to the USER;
    2. the cost of purchasing replacement goods and services resulting from any goods, data, information or services purchased or obtained, messages received or solicited transactions through the SERVICE;
    3. statements or conduct of third parties;
    4. any other matter relating to the SERVICE.
